Terms of Service

1. Acceptance of Terms

By accessing or using DataNexis.ai, registering for a Cipher session, or purchasing an Inner Circle membership, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

You must be at least 18 years of age to use our services. By using DataNexis.ai, you represent and warrant that you meet this requirement.

2. Description of Service

DataNexis.ai ("DataNexis," "we," "us," or "our") is an online educational platform that provides data engineering and analytics training through live sessions, curriculum modules, ticket-based simulations, and community access ("The Inner Circle").

Our services include but are not limited to:

• Access to structured curriculum across three phases: Decode, Build, and Execute
• Live instructor-led Cipher sessions via Zoom
• Ticket simulation system with gamification (XP, ranks, leaderboard)
• Student portal at portal.datanexis.ai
• Knowledge base, boss battles, and mock interview preparation
• Inner Circle community access

3. Accounts and Registration

To access the student portal and paid features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payment

The Inner Circle membership is billed at $147 per month on a recurring basis. Caesar Direct, when offered by invitation, is an additional $297 per month. All payments are processed securely through Stripe.

• Your subscription renews automatically on your monthly billing date
• You authorize DataNexis to charge the payment method on file each billing cycle
• Prices are in US dollars
• We reserve the right to modify pricing with at least 30 days' notice to existing subscribers

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@datanexis.ai. Upon cancellation, you retain access through the end of your current billing period. No partial-month refunds are issued unless covered by our Refund Policy.

6. Intellectual Property

All content on DataNexis.ai — including curriculum materials, session guides, ticket scenarios, code examples, video recordings, brand names (Cipher, The Inner Circle, Cipher Elite), logos, and any other proprietary materials — is owned exclusively by DataNexis.ai and protected by applicable copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our content for your personal educational purposes only. You may not:

• Reproduce, distribute, or publicly display our content without written permission
• Use our content to create competing educational products or services
• Share login credentials or account access with any third party
• Record live Cipher sessions without express written consent

You retain ownership of original work you produce through ticket submissions and projects. By submitting work, you grant DataNexis a non-exclusive license to use anonymized examples for educational and marketing purposes.

7. User Conduct

You agree not to use DataNexis.ai to:

• Harass, abuse, or harm other users or staff
• Share inappropriate, offensive, or illegal content in community spaces
• Attempt to gain unauthorized access to our systems
• Engage in any activity that disrupts or interferes with our services

Violations may result in immediate account suspension without refund.

Inner Circle members are additionally governed by our Code of Conduct, which sets out community standards, academic integrity rules, confidentiality obligations, the reporting process, and the enforcement ladder in full.

8. Disclaimer of Warranties

DataNexis.ai provides its services "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representations about the accuracy or completeness of any content.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DataNexis.ai and its founders, officers, and team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of data, or loss of business opportunities, arising out of or in connection with your use of our services.

Our total liability to you for any claims arising from these Terms shall not exceed the total amount you paid to DataNexis in the 3 months preceding the claim.

10. No Employment Guarantee

DataNexis.ai is an educational service. We do not guarantee employment, job placement, specific salary outcomes, or career advancement as a result of using our platform. Individual results depend on factors including prior experience, effort, market conditions, and individual circumstances. See our Disclaimer for full details.

11. Third-Party Services

Our platform integrates with third-party services including Stripe (payments), Cloudflare (infrastructure), and Microsoft Azure (hosting and database). Your use of these services is also subject to their respective terms. We are not responsible for the practices of third-party providers.

12. Privacy

Your use of DataNexis.ai is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Modifications to Terms

We reserve the right to update these Terms at any time. We will notify active subscribers of material changes via email. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Dallas County, Texas under the rules of the American Arbitration Association. You waive any right to participate in class-action litigation.
